Viacom’s independent directors said in a public letter today that they’ll fight a possible effort to oust them — and stick to their plan to sell a minority stake in Paramount — deeming it part of their responsibilities to shareholders and to Chairman Emeritus Sumner Redstone. His National Amusements controls 80% of Viacom’s voting shares, and is believed to be preparing to replace the board.
